Términos de Uso
1. Aceptación
A. Al usar y/o ingresar a
este sitio de Internet (en lo sucesivo, conjuntamente e incluyendo todo el
Contenido disponible a través del nombre dominio Ardcorp.tv, nombres de dominio
específicos para países y cualquier sub-dominio relacionado, el "Sitio de
Internet Saturn Liberty"
o el "Sitio de Internet"), usted acepta y se sujeta expresamente a
(1) los presentes términos y condiciones (en lo sucesivo los "Términos del
Servicio"); (2) la política de privacidad de Saturn
Liberty, localizada en la dirección de Internet http://privacy.ardcorp.tv, misma que usted declara
expresamente conocer y acepta en todos sus términos los cuales se consideran
que se encuentran aquí íntegramente reproducidos como si a la letra se
insertaren, (en lo sucesivo en su conjunto el "Contrato"). Si usted
no está de acuerdo con cualquiera de los Términos del Servicio o la política de
privacidad de Saturn Liberty,
por favor no utilice el Sitio de Internet Saturn Liberty.
B.
A pesar de que podemos intentar notificarle cuando hayan sido efectuados
cambios significativos a los Términos del Servicio, usted deberá revisar
periódicamente la versión actualizada de los mismos en la dirección de Internet
http://terms.ardcorp.tv. Saturn
Liberty podrá, a su discreción, modificar o enmendar
estos Términos del Servicio y políticas en cualquier momento, y usted acepta
expresamente que quedará sujeto a dichas modificaciones o enmiendas. Nada de lo
establecido en el presente Contrato deberá ser considerado como un otorgamiento
de derechos o beneficios a terceros.
2. Sitio de Internet Saturn Liberty
A. Los presentes Términos
del Servicio son aplicables a todos los usuarios del Sitio de Internet Saturn Liberty, incluyendo, sin
limitar, a los usuarios que también contribuyan contenido en video,
información, y otros materiales o servicios en el Sitio de Internet. El Sitio
de Internet Saturn Liberty
incluye todos los aspectos de Saturn Liberty, incluyendo, sin limitar, los canales Saturn Liberty y el "Embeddable Player" (reproductor insertable)
de Saturn Liberty.
B.
El Sitio de Internet Saturn Liberty
puede contener enlaces a sitios de Internet de terceras personas mismos que no
son propiedad de ni son controlados por Saturn Liberty. Saturn Liberty no tiene control alguno sobre, y no asume
responsabilidad alguna por el contenido, políticas de privacidad o prácticas de
ningún sitio de Internet propiedad de o bajo el control de terceros. En
adición, Saturn Liberty no
censurará y no podrá censurar o editar el contenido de ningún sitio propiedad
de o controlado por un tercero. Al utilizar y/o visitar el Sitio de Internet,
usted libera expresamente a Saturn Liberty de toda y cualquier responsabilidad que derivada
del uso que usted haga de un sitio de Internet de un tercero.
C.
En virtud de lo anterior, lo exhortamos para que se mantenga prevenido cuando
usted salga del Sitio de Internet Saturn Liberty y para que lea los términos y condiciones y las
políticas de privacidad de cualquier otro sitio de Internet que visite.
3. Uso General de los
Permisos y Restricciones del Sitio de Internet.
Por medio del presente, Saturn Liberty le autoriza a
acceder a y utilizar el Sitio de Internet de conformidad con los Términos del
Servicio, en el entendido que:
A.
Usted se obliga a no distribuir por cualquier medio cualquier parte del Sitio
de Internet, incluyendo, sin limitar, las "Contribuciones de Usuario"
(según dicho término se define más adelante) sin el consentimiento previo y por
escrito de Saturn Liberty.
B.
Usted se obliga a no alterar o modificar cualquier parte del Sitio de Internet,
incluyendo, sin limitar el Embeddable Player
(reproductor insertable) de Saturn Liberty o cualquiera de sus tecnologías relacionadas.
C.
Usted se obliga a no ingresar las Contribuciones de Usuarios (según dicho
término se define más adelante) o el Contenido de Saturn
Liberty (según dicho término se define más adelante)
por medio de cualquier tecnología o medio, diferente a las paginas
de reproducción de video propias del Sitio de Internet, el Embeddable
Player (reproductor insertable) o por cualquier otro medio autorizado
expresamente por Saturn Liberty.
D.
Usted se obliga a no utilizar el Sitio de Internet, incluyendo el Embeddable
Player (reproductor
insertable) de Saturn Liberty
para cualquier uso comercial, sin contar con el previo consentimiento por
escrito de Saturn Liberty.
El uso comercial prohibido incluye cualquiera de las acciones siguientes,
llevadas a acabo sin el consentimiento expreso de Saturn Liberty:
- Venta de
acceso al Sitio de Internet o sus servicios relacionados (tales como el Embeddable Player
(reproductor insertable)) en otro sitio de Internet;
- Uso del
Sitio de Internet o sus servicios relacionados (tales como el Embeddable Player
(reproductor insertable)), con el propósito principal de obtener ganancias
por publicidad o suscripción;
- La venta
de publicidad en el Sitio de Internet Saturn Liberty o en cualquier sitio de Internet de terceros,
dirigido al contenido específico de las Contribuciones de Usuarios o a
Contenido de Saturn Liberty;
y
- Cualquier
uso del Sitio de Internet o de sus servicios relacionados (tales como el Embeddable Player
(reproductor insertable)) que Saturn Liberty encuentre, a su discreción, que utiliza recursos
de Saturn Liberty o
Contribuciones de Usuarios con el propósito de competir con o desplazar el
mercado de Saturn Liberty,
el Contenido de Saturn Liberty,
o las Contribuciones de Usuarios.
E.
Los usos comerciales prohibidos no incluyen:
- Subir un
video original a Saturn Liberty,
o mantener un canal original en Saturn Liberty, para promover su negocio o actividad
artística;
- Utilizar
el Embeddable Player (reproductor
insertable) para mostrar videos en un blog o sitio de Internet, en el
entendido de que el propósito principal para utilizar el Embeddable Player
(reproductor insertable) no sea el obtener ganancias por publicidad o
competir con Saturn Liberty;
- Cualquier
uso expresamente autorizado por Saturn Liberty por escrito.
F.
Si usted utiliza el Embeddable
Player
(reproductor insertable) de Saturn Liberty en su propio sitio de Internet, usted deberá
incluir un enlace (link) prominente de regreso al Sitio de Internet Saturn Liberty en las páginas que
contengan el Embeddable Player (reproductor
insertable) y usted no podrá modificar en forma alguna, construir sobre u obstruir
alguna parte del Embeddable Player (reproductor
insertable).
G.
Usted se obliga a no utilizar o lanzar cualquier sistema automatizado,
incluyendo, sin limitar, "robots" (robots ), "arañas" (spiders ), o "lectores
fuera de línea" (offline readers ), que accedan al Sitio de Internet en una
forma que envíen más solicitudes al servidor de Saturn
Liberty en un período de tiempo determinado que
aquellos mensajes que una persona pueda razonablemente producir en el mismo
período de tiempo utilizando un buscador de red en línea convencional. No
obstante lo anterior, Saturn Liberty
otorga a los operadores de motores públicos de búsqueda permiso para utilizar
arañas (spiders ) para copiar materiales
del sitio con el único propósito de y únicamente hasta donde sea necesario para
crear índices de búsqueda disponibles al público de los materiales, pero no caches o archivos de dichos
materiales. Saturn Liberty
se reserva el derecho de revocar esta excepción ya sea de manera general o en
casos específicos. Usted se obliga a no recolectar u obtener información
personal identificable, incluyendo nombres de cuentas del Sitio de Internet, ni
a utilizar los sistemas de comunicación disponibles en el Sitio de Internet
(verbigracia, comentarios, correos electrónicos.) para cualquier propósito comercial.
Usted se obliga a no solicitar, para propósitos comerciales, a cualquier
usuario del Sitio de Internet en relación con su Contribución de Usuario (según
dicho término se define más adelante).
H.
Usted deberá cumplir con los términos y condiciones de estos Términos del
Servicio, con los Lineamientos de la Comunidad Saturn
Liberty, y con todas las leyes y reglamentos, locales
nacionales e internacionales aplicables.
I.
Saturn Liberty se reserva
el derecho de descontinuar cualquier aspecto del Sitio de Internet Saturn Liberty en cualquier
momento.
4. Uso del Contenido del
Sitio de Internet.
En adición a las
anteriores restricciones generales, las siguientes restricciones y condiciones
aplicarán específicamente al uso del contenido del Sitio de Internet Saturn Liberty.
A.
El contenido del sitio de Internet Saturn Liberty, con excepción de las Contribuciones de Usuarios
(según dicho termino se define mas adelante),
incluyendo, sin limitar, texto, software, scripts, gráficos, fotos, sonidos,
música, videos, funciones interactivas y contenido similar (el
"Contenido") y las marcas, marcas del servicio y logotipos contenidos
en el Sitio de Internet (las "Marcas"), son propiedad de o se
encuentran licenciadas en favor de Saturn Liberty, sujetas a derechos de autor y otros derechos de
propiedad industrial e intelectual bajo la ley. El Contenido del Sitio de
Internet es proveído en EL ESTADO EN QUE SE ENCUENTRA para su información y uso
personal solamente y el mismo no podrá ser descargado, copiado, reproducido,
distribuido, transferido, transmitido, expuesto, vendido, licenciado o
explotado de cualquier otra forma para cualquier propósito sin el
consentimiento previo y por escrito de los correspondientes dueños. Saturn Liberty se reserva todos
los derechos que no se encuentran expresamente otorgados en y para el Sitio de
Internet y el Contenido.
B.
Usted podrá ingresar a las Contribuciones de Usuarios solamente:
- Para su
información y uso personal;
- De acuerdo
al propósito original del funcionamiento del Servicio de Saturn Liberty
C.
Usted podrá ingresar al Contenido de Saturn Liberty, Contribuciones de Usuarios y cualquier otro
contenido de conformidad con lo establecido en el presente Contrato. Saturn Liberty se reserva todos
los derechos no expresamente otorgados en y para el Contenido de Saturn Liberty y el Servicio Saturn Liberty.
D.
Usted se obliga a no usar, copiar, o distribuir Contenido alguno, incluyendo
cualquier uso, copia o distribución de las Contribuciones de Usuarios o
terceras personas obtenidas por medio del Sitio de Internet para cualquier uso
comercial, que sea distinto a lo expresamente permitido en el presente
Contrato.
E.
Usted se obliga a no circunvenir, deshabilitar o de cualquier otra forma
interferir con las funciones relacionadas con seguridad del Sitio de Internet Saturn Liberty o las funciones
que previenen o restringen el uso o copiado de cualquier Contenido o que
establecen limitaciones en el uso del Sitio de Internet Saturn
Liberty o el Contenido del mismo.
F.
Usted entiende que al utilizar el Sitio de Internet Saturn
Liberty, usted estará expuesto a Contribuciones de
Usuarios de una gran variedad de fuentes y que Saturn
Liberty no es responsable por la exactitud, utilidad,
seguridad o derechos de propiedad intelectual de o relacionados con dichas
Contribuciones de Usuarios. Usted adicionalmente entiende y acepta que puede
ser expuesto a Contribuciones de Usuarios que pueden ser imprecisas, ofensivas,
indecentes u objetables y usted se obliga a renunciar y por medio del presente
renuncia a cualquier derecho o defensa legal, ya sea en dinero o de cualquier
otra forma que tenga o pueda tener en contra de Saturn
Liberty al respecto y se obliga a indemnizar y
mantener a Saturn Liberty,
sus Propietarios/ Operadores, afiliados y/o licenciantes, libres de cualquier
daño o reclamación de conformidad con las leyes correspondientes en todos los
asuntos relacionados con el uso del Sitio de Internet.
5. Contenido Enviado por
Usted y Conducta.
A. Como usuario de Saturn Liberty usted puede
agregar contenido en video (en lo sucesivo "Videos de Usuarios Los Videos
de Usuarios son referidos conjuntamente, de manera indistinta, como
"Contribución de Usuario" o "Contribuciones de Usuarios".
Usted entiende que independientemente que dicha Contribución de Usuario sea
publicada o no, Saturn Liberty
no garantiza cualquier confidencialidad en relación con cualquier Contribución
de Usuario.
B.
Usted será el único responsable por sus propias Contribuciones de Usuario y de
las consecuencias de publicarlas. En relación con las Contribuciones de
Usuarios, usted afirma, declara y/o garantiza que: usted es propietario o tiene
las licencias necesarias, derechos, consentimientos y permisos para usar y
autorizar a Saturn Liberty
para utilizar todas las patentes, marcas, secretos industriales, derechos de
autor o cualquier otro derecho de propiedad en y para cualquier Contribución de
Usuario para permitir la inclusión y el uso de las Contribuciones de Usuario en
la forma contemplada por el Sitio de Internet y estos Términos del Servicio.
C.
Para mayor claridad, usted retiene todos los derechos de propiedad
correspondientes a su Contribución de Usuario. Sin embargo, al publicar una
Contribución de Usuario a Saturn Liberty,
usted por medio del presente otorga a Saturn Liberty una sublicencia y una
licencia transferible, mundial, no exclusiva, gratuita, sub-licenciable
y transferible para usar, reproducir, distribuir, elaborar trabajos derivados
de, mostrar y desarrollar la Contribución de Usuario en relación con el Sitio
de Internet Saturn Liberty
y los negocios de Saturn Liberty
(y de sus sucesores, causahabientes y afiliados), incluyendo sin limitación,
para la promoción y redistribución de parte o todo el Sitio de Internet de Saturn Liberty (y trabajos
derivados del mismo) en cualquier formato en medios y por medio de cualquier
canal de comunicación. Asimismo, por medio del presente usted otorga a todos
los usuarios del Sitio de Internet de Saturn Liberty una licencia no exclusiva para ingresar a su
Contribución de Usuario por medio del Sitio de Internet, y para usar,
reproducir, distribuir, mostrar y desarrollar dicha Contribución de Usuario
según sea permitido por las funciones del Sitio de Internet y bajo los Términos
del Servicio. Las licencias otorgadas anteriormente por usted en Videos de
Usuarios terminarán dentro de un período comercial razonable después de que
usted remueva o borre sus Videos de Usuarios del Servicio de Saturn Liberty. Sin embargo,
usted entiende y acuerda que Saturn Liberty puede retener, pero no mostrar, distribuir o
desarrollar, copias del servidor de Contribuciones de Usuarios que hayan sido
removidas o borradas. Las licencias otorgadas anteriormente por usted en
relación a los Comentarios de Usuarios son perpetuas e irrevocables.
D.
En relación con la Contribución de Usuario, usted se obliga a no subir al Sitio
de Internet material protegido por derechos de autor, secretos industriales o
de cualquier otra forma protegido por un tercero bajo un derecho de propiedad,
incluyendo derechos de confidencialidad y publicitarios, a menos que usted sea
el titular de dichos derechos o tenga la autorización de parte de su legítimo
propietario para subir el material al Sitio de Internet y para otorgar a Saturn Liberty todos los derechos
de licencia de conformidad con el presente Contrato.
E.
Saturn Liberty no
promociona ni apoya cualquier Contribución de Usuario u opinión, recomendación
o aviso que se comunique a través de la Contribución de Usuario y Saturn Liberty queda expresamente
liberada de todas y cualquier responsabilidad en relación con las
Contribuciones de Usuarios. Saturn Liberty no permite actividades que violen los derechos de
autor ni los derechos de propiedad intelectual en su Sitio de Internet y Saturn Liberty removerá todo
Contenido o Contribución de Usuario si se le notifica de forma apropiada que
dicho Contenido o Contribución de Usuario infringe los derechos de autor y/o de
propiedad intelectual de un tercero. Saturn Liberty se reserva el derecho de remover Contenido y
Contribuciones de Usuarios sin previo aviso, sin responsabilidad alguna para Saturn Liberty.
6. Política de Derechos de
Autor.
A. Saturn
Liberty mantiene una política clara en relación con
cualquier Contribución de Usuario a la que se le impute una violación de
derechos de autor de terceras personas. Los detalles de dicha política se
pueden encontrar en la siguiente página de Internet http://copyright.ardcorp.tv, la cual se entiende
expresamente aceptada por usted y se tiene aquí por reproducida como si a la
letra se insertare.
B.
Como parte de la política de derechos de autor de Saturn
Liberty, Saturn Liberty cancelará el acceso al Sitio de Internet si
determina que el usuario es un infractor recurrente. Un infractor recurrente es
un usuario que ha sido notificado por actividades violatorias más de dos veces.
7. Liberación de
Responsabilidad por Garantías
USTED ACUERDA QUE EL USO
DEL SITIO DE INTERNET DE SATURN LIBERTY CORRERÁ BAJO SU PROPIO RIESGO. HASTA EL
MÁXIMO PERMITIDO POR LA LEGISLACIÓN APLICABLE, SATURN LIBERTY, SUS
FUNCIONARIOS, ADMINISTRADORES (DIRECTORES), EMPLEADOS REPRESENTANTES Y AGENTES
QUEDAN LIBERADOS DE CUALQUIER RESPONSABILIDAD BAJO CUALQUIER TIPO DE GARANTÍA,
YA SEA EXPRESA O IMPLÍCITA, EN RELACIÓN CON EL SITIO DE INTERNET Y EL USO DEL
MISMO POR PARTE DE USTED. SATURN LIBERTY NO GARANTIZA NI EMITE DECLARACIÓN
ALGUNA ACERCA DE LA VERACIDAD O EXACTITUD DEL CONTENIDO DEL SITIO DE INTERNET O
DEL CONTENIDO DE CUALQUIER SITIO DE INTERNET LIGADO A ESTE SITIO DE INTERNET Y
NO ASUME RESPONSABILIDAD ALGUNA CIVIL O PENAL POR NINGÚN (I) ERRORES,
INCONSISTENCIA DEL CONTENIDO, (II) DAÑO PERSONAL O A LA PROPIEDAD, DE CUALQUIER
NATURALEZA, QUE RESULTE DE SU ACCESO AL Y USO DEL SITIO DE INTERNET, (III)
CUALQUIER ACCESO A O USO NO AUTORIZADO DE NUESTRO SERVIDORES RESTRINGIDOS Y/O DE
TODA Y CUALQUIER INFORMACIÓN PERSONAL Y/O FINANCIERA ALMACENADA EN DICHOS
SERVIDORES, (IV) CUALQUIER INTERRUPCIÓN O TERMINACIÓN DE LA TRANSMISIÓN PARA O
DESDE NUESTRO SITIO DE INTERNET, (V) CUALQUIER BUG, VIRUS, CABALLOS DE TROYA
(TROJAN HORSES) O SIMILARES QUE PUDIERAN SER TRANSMITIDOS POR MEDIO DE O A
TRAVÉS DE NUESTRO SITIO DE INTERNET POR CUALQUIER TERCERO, Y/O (VI) CUALQUIER
ERROR U OMISIÓN EN CUALQUIER CONTENIDO O POR CUALQUIER DAÑO O PÉRDIDA DE
CUALQUIER NATURALEZA QUE RESULTE POR EL USO DE CUALQUIER CONTENIDO PUBLICADO,
ENVIADO VÍA CORREO ELECTRÓNICO, TRANSMITIDO O PUESTO A SU DISPOSICIÓN DE
CUALQUIER OTRA FORMA POR CONDUCTO DEL SITIO DE INTERNET SATURN LIBERTY. SATURN
LIBERTY NO GARANTIZA, PATROCINA O ASUME RESPONSABILIDAD ALGUNA POR NINGÚN
PRODUCTO O SERVICIO PROMOCIONADO U OFRECIDO POR UN TERCERO A TRAVÉS DEL SITIO
DE INTERNET SATURN LIBERTY O CUALQUIER SITIO DE INTERNET CONTECTADO POR UN
"HYPERLINK" O PROMOCIONADO EN CUALQUIER ANUNCIO U OTRO TIPO DE
PUBLICIDAD, Y SATURN LIBERTY NO SERÁ PARTE DE O DE NINGUNA MANERA SERÁ RESPONSABLE
DE MONITOREAR CUALQUIER TRANSACCIÓN ENTRE USTED Y UN TERCERO, QUE SEA
DISTRIBUIDOR DE PRODUCTOS O SERVICIOS. COMO EN CUALESQUIERA COMPRA DE UN
PRODUCTO O SERVICIO A TRAVÉS DE CUALQUIER MEDIO O ENTORNO, USTED DEBERÁ
UTILIZAR SU MEJOR JUICIO Y TOMAR PRECAUCIONES CUANDO SEA APROPIADO.
8. Restricción de la
Responsabilidad
BAJO NINGUNA
CIRCUNSTANCIA SATURN LIBERTY, SUS FUNCIONARIOS, ADMINISTRADORES (DIRECTORES),
EMPLEADOS O AGENTES SERÁN RESPONSABLES FRENTE A USTED POR CUALESQUIER DAÑO, YA
SEA, DIRECTO, INDIRECTO, INCIDENTAL, ESPECIAL, PUNITIVIO O CONSECUENTAL QUE
RESULTE DE (I) ERRORES, INCONSISTENCIAS DEL CONTENIDO, (II) LESIÓN O DAÑO A LA
PROPIEDAD, DE CUALQUIER NATURALEZA, QUE RESULTE DE SU ACCESO AL Y USO DE
NUESTRO SITIO DE INTERNET, (III) CUALQUIER ACCESO NO AUTORIZADO O USO DE
NUESTROS SERVIDORES RESTRINGIDOS Y/O DE CUALQUIER INFORMACIÓN PERSONAL Y/O
FINANCIERA ALMACENADA DENTRO DE DICHOS SERVIDORES, (IV) CUALQUIER INTERRUPCIÓN
O TERMINACIÓN DE LA TRANSMISIÓN DE NUESTRO SITIO DE INTERNET, (V) CUALQUIER
BUG, VIRUS, CABALLO DE TROYA (TROJAN HORSES) O SIMILARES QUE PUDIERAN SER
TRANSMITIDOS POR MEDIO O A TRAVÉS DE NUESTRO SITIO DE INTERNET POR CUALQUIER
TERCERO, Y/O (VI) CUALQUIER ERROR U OMISIÓN EN CUALQUIER CONTENIDO O POR
CUALQUIER PÉRDIDA O DAÑO, DE CUALQUIER NATURALEZA, QUE RESULTE POR EL USO POR
PARTE DE USTED DEL CONTENIDO PUBLICADO, ENVIADO VÍA CORREO ELECTRÓNICO,
TRANSMITIDO O PUESTO A DISPOSICION DE CUALQUIER OTRA FORMA VÍA EL SITIO DE
INTERNET SATURN LIBERTY, YA SEA QUE LOS ANTERIORES TENGAN COMO BASE UNA
GARANTÍA, CONTRATO, RESPONSABILIDAD CIVIL O CUALQUIER OTRA TEORÍA LEGAL, SIN
IMPORTAR QUE LA COMPAÑÍA HAYA SIDO ADVERTIDA O NO DEL ALCANCE DE DICHOS DAÑOS.
LA RESTRICCIÓN DE RESPONSABILIDAD ANTES MENCIONADA, SERÁ APLICABLE DE LA FORMA
MÁS AMPLIA QUE PERMITA LA LEGISLACIÓN APLICABLE EN LA JURISDICCIÓN
CORRESPONDIENTE.
USTED
ESPECÍFICAMENTE RECONOCE QUE SATURN LIBERTY NO SERÁ RESPONSABLE POR LAS
CONTRIBUCIONES DE USUARIOS NI POR LAS CONDUCTAS DIFAMATORIAS, OFENSIVAS O
ILEGALES DE CUALQUIER TERCERO Y QUE EL RIESGO DE DAÑO O PERJUICIO EN RELACIÓN
CON LO ANTERIOR RECAE COMPLETAMENTE SOBRE USTED.
El
sitio de internet es controlado y ofrecido por Saturn
Liberty desde sus instalaciones en Canada. Saturn Liberty no hace ninguna declaración de que el Sitio de Internet
Saturn Liberty es apropiado
o se encuentra disponible para su uso en otras localidades. Aquellos que
ingresan o utilizan el Sitio de Internet Saturn Liberty desde otras jurisdicciones lo hacen por su propia
voluntad y son responsables por el cumplimiento de la legislación local.
9. Indemnización.
Usted se obliga a
defender, indemnizar y mantener libre de cualquier daño a Saturn
Liberty, su sociedad controladora, sus funcionarios,
directores, empleados y representantes de y contra cualesquiera reclamaciones, daños,
obligaciones, perdidas, responsabilidades, costos o deudas y gastos
(incluyendo, sin limitar, honorarios de abogados) que resulten de: (i) uso y
acceso al Sitio de Internet Saturn Liberty por parte de usted; (ii)
violación por su parte de cualquiera de las disposiciones de estos Términos del
Servicio; (iii) violación por su parte a los derechos

pasivo que no da lugar a jurisdicción personal sobre Saturn
Liberty, ya sea especifica o general, en otras
jurisdicciones diferentes al Estado de Quebec, Montreal Canadá. Los presentes
Términos del Servicio deberán ser interpretados y estarán sujetos a las leyes

y se someten. En virtud de lo anterior y con excepción de lo señalado en el
presente párrafo, las partes por este conducto renuncian expresamente a
cualquier otra jurisdicción que les pudiere corresponder en virtud de sus
domicilios presentes o futuros o por cualquier otra causa. El arbitraje será
llevado ante el Centro Internacional para la Resolución de Controversias (International
Center for Dispute Resolution)
de la Asociación Americana de Arbitraje (American Arbitration
Association, "AAA") y resuelto de

domain name, the "Saturn Liberty Website", or "Website"),
you signify your agreement to (1) these terms and conditions (the "Terms
of Service"), (2)ARD Corporation privacy notice, found at http://privacy.ardcorp.tv and incorporated here by reference. If you do
not agree to any of these terms, the ARD Corporation privacy notice, please do
not use the Saturn Liberty Website.
B. Although we may
attempt to notify you when major changes are made to these Terms of Service,
you should periodically review the most up-to-date version http://terms.ardcorp.tv). Saturn Liberty may, in its sole discretion,
modify or revise these Terms of Service and policies at any time, and you agree
to be bound by such modifications or revisions. Nothing in this Agreement shall
be deemed to confer any third-party rights or benefits.
2. Saturn Liberty Website
A. These Terms of Service apply to all users
of the Saturn Liberty Website, including users who are also contributors of
video content, information, and other materials or services on the Website. The
Saturn Liberty Website includes all aspects of ARD Corporation, including but
not limited to all products, software and services offered via the website such
as the Saturn Liberty Desktop, the Saturn Liberty "Embeddable
Player," the Saturn Liberty "Uploader"
and other applications.
B. The
Saturn Liberty Website may contain links to third party websites that are not
owned or controlled by ARD Corporation. ARD Corporation has no control over,
and assumes no responsibility for, the content, privacy policies, or practices
of any third party websites. In addition, ARD Corporation will not and cannot
censor or edit the content of any third-party site. By using the Website, you
expressly relieve ARD Corporation from any and all liability arising from your
use of any third-party website.
C. Accordingly, we
encourage you to be aware when you leave the Saturn Liberty Website and to read
the terms and conditions and privacy policy of each other website that you
visit.
3. General Use of the Website—Permissions and
Restrictions
ARD Corporation hereby grants you permission
to access and use the Website as set forth in these Terms of Service, provided
that:
A. You agree not to
distribute in any medium any part of the Website, including but not limited to
User Submissions (defined below), without ARD Corporation's prior written
authorization.
B. You agree not to
alter or modify any part of the Website, including but not limited to ARD
Corporation's Embeddable Player or any of its related technologies.
C. You agree not to use
the Website, including the ARD Corporation Embeddable Player for any commercial
use, without the prior written authorization of ARD Corporation. Prohibited
commercial uses include any of the following actions taken without ARD
Corporation's express approval:
- sale of access to the Website or its related services
on another website;
- use of the Website or its related services, for the
primary purpose of gaining advertising or subscription revenue;
- the sale of advertising, on the Saturn Liberty Website
or any third-party website, targeted to the content of specific User
Submissions or ARD Corporation content;
- and any use of the Website or its related services that ARD
Corporation finds, in its sole discretion, to use ARD Corporation's
resources or User Submissions with the effect of competing with or
displacing the market for ARD Corporation, ARD Corporation content, or its
User Submissions.
D. Prohibited
commercial uses do not include:
- uploading an original video to ARD Corporation, to promote your business or artistic
enterprise;
- using the Embeddable Player to show ARD Corporation
videos on an ad-enabled blog or website, provided the primary purpose of
using the Embeddable Player is not to gain advertising revenue or compete
with ARD Corporation;
- any use that ARD Corporation expressly authorizes in
writing.
E. If you use the ARD Corporation
Embeddable Player on your website, you must include a prominent link back to
the Saturn Liberty Website on the pages containing the Embeddable Player and
you may not modify, build upon, or block any portion of the Embeddable Player
in any way.
F. If you use the ARD
Corporation Uploader, you agree that it may
automatically download and install updates from time to time from ARD
Corporation. These updates are designed to improve, enhance and further develop
the Uploader and may take the form of bug fixes,
enhanced functions, new software modules and completely new versions. You agree
to receive such updates (and permit ARD Corporation to deliver these to you) as
part of your use of the Uploader.
G. In your use of the
website, you will otherwise comply with the terms and conditions of these Terms
of Service, and all applicable local, national, and international laws and
regulations.
H. ARD Corporation
reserves the right to discontinue any aspect of the Saturn Liberty Website at
any time.
4. Your Use of Content on the Site
In addition to the general restrictions above,
the following restrictions and conditions apply specifically to your use of
content on the Saturn Liberty Website.

Saturn Liberty Website, except all User Submissions (as defined below),
including without limitation, the text, software, scripts, graphics, photos,
sounds, music, videos, interactive features and the like ("Content")
and the trademarks, service marks and logos contained therein ("Marks"),
are owned by or licensed to ARD Corporation, subject to copyright and other
intellectual property rights under the law. Content on the Website is provided
to you AS IS for your information and personal use only and may not be
downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed,
sold, licensed, or otherwise exploited for any other purposes whatsoever
without the prior written consent of the respective owners. ARD Corporation
reserves all rights not expressly granted in and to the Website and the
Content.
ALL THE CONTENT ON
SATURN LIBERTY WEBSITE IS FOR TESTING AND EVALUATION PRUPOSES ONLY, WE DON’T
USE ANY OF THE CONTENT FOR COMMERCIAL USE.
B. You may access User
Submissions solely:
- for your information and personal use;
- as intended through the normal functionality of the ARD
Corporation Service; and
- for Streaming.
"Streaming"
means a contemporaneous digital transmission of an audiovisual work via the
Internet from the ARD Corporation Service to a user's device in such a manner
that the data is intended for real-time viewing and not intended to be copied,
stored, permanently downloaded, or redistributed by the user. Accessing User
Videos for any purpose or in any manner other than Streaming is expressly
prohibited. User Videos are made available "as is."
C. You may access ARD
Corporation Content, User Submissions and other content only as permitted under
this Agreement. ARD Corporation reserves all rights not expressly granted in
and to the ARD Corporation Content and the ARD Corporation Service.
D. You agree to not
engage in the use, copying, or distribution of any of the Content other than
expressly permitted herein, including any use, copying, or distribution of User
Submissions of third parties obtained through the Website for any commercial purposes.
E. You agree not to
circumvent, disable or otherwise interfere with security-related features of
the Saturn Liberty Website or features that prevent or restrict use or copying
of any Content or enforce limitations on use of the Saturn Liberty Website or
the Content therein.
F. You understand that
when using the Saturn Liberty Website, you will be exposed to User Submissions
from a variety of sources, and that ARD Corporation is not responsible for the
accuracy, usefulness, safety, or intellectual property rights of or relating to
such User Submissions. You further understand and acknowledge that you may be
exposed to User Submissions that are inaccurate, offensive, indecent, or
objectionable, and you agree to waive, and hereby do waive, any legal or equitable
rights or remedies you have or may have against ARD Corporation with respect
thereto, and agree to indemnify and hold ARD Corporation, its Owners/Operators,
affiliates, and/or licensors, harmless to the fullest extent allowed by law
regarding all matters related to your use of the site.
5. Your User Submissions and Conduct
A. you may submit video content ("User
Videos") and. User Videos are collectively referred to as "User
Submissions." You understand that whether or not such User Submissions are
published, ARD Corporation does not guarantee any confidentiality with respect
to any User Submissions.
B. You shall be solely
responsible for your own User Submissions and the consequences of posting or
publishing them. In connection with User Submissions, you affirm, represent,
and/or warrant that: you own or have the necessary licenses, rights, consents,
and permissions to use and authorize ARD Corporation to use all patent,
trademark, trade secret, copyright or other proprietary rights in and to any
and all User Submissions to enable inclusion and use of the User Submissions in
the manner contemplated by the Website and these Terms of Service.
C. For clarity, you
retain all of your ownership rights in your User Submissions. However, by
submitting User Submissions to ARD Corporation, you hereby grant ARD
Corporation a worldwide, non-exclusive, royalty-free, sublicenseable
and transferable license to use, reproduce, distribute, prepare derivative
works of, display, and perform the User Submissions in connection with the Saturn
Liberty Website and ARD Corporation's (and its successors' and affiliates')
business, including without limitation for promoting and redistributing part or
all of the Saturn Liberty Website (and derivative works thereof) in any media
formats and through any media channels. You also hereby grant each user of the Saturn
Liberty Website a non-exclusive license to access your User Submissions through
the Website, and to use, reproduce, distribute, display and perform such User
Submissions as permitted through the functionality of the Website and under
these Terms of Service. The above licenses granted by you in User Videos
terminate within a commercially reasonable time after you remove or delete your
User Videos from the ARD Corporation Service. You understand and agree,
however, that ARD Corporation may retain, but not display, distribute, or
perform, server copies of User Submissions that have been removed or deleted.
The above licenses granted by you are perpetual and irrevocable.
D. In connection with
User Submissions, you further agree that you will not submit material that is
copyrighted, protected by trade secret or otherwise subject to third party
proprietary rights, including privacy and publicity rights, unless you are the
owner of such rights or have permission from their rightful owner to post the
material and to grant ARD Corporation all of the license rights granted herein.
E. ARD Corporation
does not endorse any User Submission or any opinion, recommendation, or advice
expressed therein, and ARD Corporation expressly disclaims any and all
liability in connection with User Submissions. ARD Corporation does not permit
copyright infringing activities and infringement of intellectual property
rights on its Website, and ARD Corporation will remove all Content and User
Submissions if properly notified that such Content or User Submission infringes
on another's intellectual property rights. ARD Corporation reserves the right
to remove Content and User Submissions without prior notice.
6. Digital Millennium Copyright Act
A. If you are a copyright owner or an agent thereof
and believe that any User Submission or other content infringes upon your
copyrights, you may submit a notification pursuant to the Digital Millennium
Copyright Act ("DMCA") by providing our Copyright Agent with the

B. Counter-Notice. If
you believe that your User Submission that was removed (or to which access was
disabled) is not infringing, or that you have the authorization from the
copyright owner, the copyright owner's agent, or pursuant to the law, to post
and use the content in your User Submission, you may send a counter-notice
containing the following information to the Copyright Agent:
- Your physical or electronic signature;
- Identification of the content that has been removed or
to which access has been disabled and the location at which the content
appeared before it was removed or disabled;
- A statement that you have a good faith belief that the
content was removed or disabled as a result of mistake or a
misidentification of the content; and
- Your name, address, telephone number, and e-mail
address, and a statement that you will accept service of process from the

If a counter-notice is

You agree to defend, indemnify and hold

employees and agents, from and against any and all claims, damages,

your use of and access to the Saturn Liberty Website; (ii) your violation of
any term of these Terms of Service; (iii) your violation of any third party
right, including without limitation any copyright, property, or privacy right;
or (iv) any claim that one of your User Submissions caused damage to a third party.
This defense and indemnification obligation will survive these Terms of Service

10. Ability to Accept Terms of Service
You affirm that you are either more than 18

11. Assignment

rise to personal jurisdiction over ARD Corporation, either specific or general,

the internal substantive laws of the State of Edmonton, without respect to its

CORPORATION AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SATURN
LIBERTY WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION
ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
